Terms of Service
Effective Date: 8th August 2026. These Terms govern your access to and use of the Reconzo platform, services, and related offerings (the "Platform"), provided by Reweave Ecom Solutions Pvt. Ltd. By using the Platform, you agree to be bound by these Terms.
01 License and Use
Subject to your compliance with these Terms and payment of applicable fees, Reconzo grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform solely for your internal business purposes as described in the Agreement.
You agree not to:
- Modify, copy, or create derivative works based on the Platform.
- Reverse engineer, decompile, disassemble, or attempt to discover the source code.
- Use the Platform to provide services to third parties.
- Transmit viruses, malicious code, or any illegal content.
- Use the Platform in any way that violates applicable laws or third-party rights.
02 Account Registration and Security
You will create and maintain account credentials for Authorized Users only. Credentials must be kept confidential, and you are responsible for all activities under your account. You agree to notify Reconzo immediately of any unauthorized use of your account.
03 Payment Terms
- Fees for use of the Platform are due in advance monthly as per the payment schedule outlined in your Order Form or Agreement.
- All fees exclude applicable taxes, which will be added where required by law.
- No Refunds: Subscription fees are non-refundable except where required by law or expressly agreed in an Order Form. Cancellations must be submitted in writing at least 30 days before the next billing cycle.
- Late payments may accrue interest at 12% per annum until paid in full.
04 Service Availability and Support
99% uptime target
Excluding scheduled maintenance windows and force majeure events.
SLA credits
Downtime credits are granted as per the SLA in the Agreement.
Support included
Assistance with integration and issue resolution, as detailed in the Agreement.
05 Intellectual Property Rights
Reconzo retains all rights, title, and interest in the Platform and its content, including software, documentation, trademarks, and know-how. Customer retains ownership of Customer Data entered into the Platform.
06 Data Privacy and Security
Customer Data remains the sole property of the Customer. Reconzo implements reasonable security measures consistent with industry standards, including TLS 1.2+ in transit and AES-256 at rest encryption. The use and protection of Customer Data are governed by the Privacy Policy.
07 Limitation of Liability
To the maximum extent permitted by law, Reconzo and its affiliates shall not be liable for any indirect, incidental, consequential, special, or punitive damages arising from or related to your use or inability to use the Platform.
General claims
Liability capped at total fees paid in the 3 months preceding the claim.
Confidentiality, security, IP, fraud & gross negligence
Liability capped at total fees paid in the 6 months preceding the claim.
Customers on enterprise agreements are governed by a separate master services agreement whose liability terms prevail.
08 Termination
- Either party may terminate the Agreement with cause and after reasonable time to rectify the cause has been given to Reconzo, with 30 days' written notice. Service fees for the remainder of the service term remain payable by the customer.
- Termination for cause may occur upon a material breach not cured within 30 days of written notice.
- Upon termination, you must cease all use of the Platform and delete all copies of software and documentation.
09 Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of India. Disputes shall be subject to the exclusive jurisdiction of courts in New Delhi.
10 Miscellaneous
Reconzo reserves the right to modify these Terms at any time by posting updated terms on the Platform. Continued use after changes constitutes acceptance.
No Refunds Policy
- All subscription and service fees paid to Reconzo are non-refundable.
- Cancellation requests must be submitted at least 30 days prior to the next billing cycle to avoid future charges.
- No refunds or credits will be provided for partial months, unused services, or early termination.
Cookie Policy
- We use cookies to provide a better user experience and analyze site traffic.
- By continuing to use our website, you consent to our use of cookies.
- You can disable cookies via your browser settings, but some features of the Platform may not function properly.
Acceptable Use Policy
Users agree not to use the Platform to:
- Transmit or distribute harmful software or viruses.
- Violate any applicable laws or third-party rights.
- Upload or share unlawful, offensive, or inappropriate content.
- Engage in unauthorized access or activities detrimental to Platform integrity.
Reconzo reserves the right to suspend or terminate accounts violating these rules.
Payment Gateway Disclaimer
Third-party processors
Reconzo uses gateways such as Stripe and Razorpay to securely process payments. Using these gateways means agreeing to their own terms, privacy policies, and security standards.
Data handling
Reconzo does not store full payment card information. All payment data is handled directly by the gateway providers under frameworks such as PCI DSS.
Transaction issues
Payment, refund, or dispute issues may need to go directly to the gateway provider. Reconzo assists where possible but isn't responsible for processing failures beyond its control.
Refunds & chargebacks
Subscription fees are non-refundable except where legally required or agreed in an Order Form. Chargebacks may lead to account suspension or termination and additional fees.
Any additional fees charged by payment gateways or applicable taxes are your responsibility.
API Usage Disclaimer
API access
Reconzo provides API access for integration and automation. Credentials are issued per authorized user and must be kept confidential.
Use at your own risk
APIs are provided "as is" without warranties of any kind. We do not guarantee uninterrupted or error-free service.
Limits & restrictions
Usage is subject to rate limits, quotas, and policies in your Agreement or API documentation. Excessive usage may lead to throttling or suspension.
Security & indemnification
You're responsible for securing your API keys and complying with data protection laws, and agree to indemnify Reconzo against claims arising from misuse.
Reconzo reserves the right to modify or discontinue API services and is not liable for damages resulting from such changes.
